This End User Licence Agreement governs access to and use of Steward Business Suite, including its accounting, inventory, payroll, HR, reporting, fixed asset, workflow, document and compliance-related modules.

1. Parties and acceptance

This EULA is a binding agreement between Steward Business Resources Limited and the legal entity, business, firm, partnership, public body or other organisation that registers for or uses Steward Business Suite ("Customer"). If an individual accepts this EULA for a Customer, that individual represents and warrants that they have authority to bind the Customer.

If the Customer or any user does not agree to this EULA, they must not access or use the service.

2. Licence grant and service scope

Subject to compliance with this EULA and any applicable order form, subscription, quotation or commercial schedule, Steward Business Resources Limited grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence during the subscription term to access and use Steward Business Suite for the Customer's internal business operations.

The service may include modules for finance, payroll, HR, inventory, approvals, reporting, tax workflows, fixed assets, POS-adjacent workflows, integrations, APIs, document uploads and compliance tooling. Module availability may depend on the subscribed product plan, workspace settings and deployment configuration.

3. Account ownership and authorised users

The Customer is responsible for all activity under its workspace, including activity by employees, consultants, contractors and administrators granted access by the Customer. The Customer shall:

  • maintain accurate registration, billing and owner contact details;
  • keep credentials confidential and use reasonable access controls;
  • assign permissions according to role and business need;
  • promptly disable access for departed or unauthorised users; and
  • notify Steward Business Resources Limited without undue delay if it suspects compromise, unauthorised access or misuse.

4. Customer data and permitted processing

"Customer Data" means data, records, files, uploaded documents, transactions, master data, employee data, tax data, accounting entries, inventory records, communications, configuration data and other information submitted to or generated within the Customer's workspace in connection with its use of the service.

As between the parties, the Customer retains all right, title and interest in and to Customer Data. The Customer grants Steward Business Resources Limited the rights necessary to host, copy, transmit, index, store, back up, process and display Customer Data solely as needed to provide, secure, maintain, support and improve the service, comply with law, enforce this EULA and perform disaster recovery and business continuity functions.

The Customer is responsible for ensuring it has a lawful basis and all required notices, permissions and internal approvals to submit personal data and confidential business information into the service.

5. Telemetry, service data and analytics

Steward Business Suite collects telemetry and service-generated data. This is a core part of running the platform responsibly, especially in a multi-tenant ERP environment where reliability, diagnostics, security and auditability matter.

Telemetry and service data may include account and workspace identifiers, user identifiers, session identifiers, event names, event categories, modules used, route names, entity references, timestamps, durations, success or failure flags, error and exception details, workflow transitions, configuration state, storage consumption, upload metadata and, where captured as part of access or support events, request metadata such as IP address and user-agent information.

Steward Business Resources Limited may use this information to:

  • authenticate access, detect abuse and secure the service;
  • troubleshoot incidents, reproduce defects and provide support;
  • monitor performance, uptime, queue health, feature adoption and capacity;
  • improve workflows, usability, reliability and product planning;
  • generate aggregated or de-identified reporting, benchmarking and operational insights; and
  • meet legal, tax, audit, security and regulatory obligations.

The Customer acknowledges and agrees that telemetry may be collected automatically when users interact with the service. The Customer is responsible for informing its users that such telemetry is collected. Steward Business Resources Limited will not sell Customer-specific telemetry as a standalone data product, but may use aggregated or de-identified data to operate and improve the service and related offerings.

6. Privacy, security and compliance

Each party shall comply with applicable data protection, privacy and information security laws to the extent those laws apply to that party's activities under this EULA. The Customer acknowledges that, where personal data of individuals located in Kenya is processed, the Data Protection Act, 2019 may apply.

Steward Business Resources Limited will use reasonable administrative, technical and organisational safeguards designed to protect Customer Data against unauthorised access, loss, misuse or alteration. No system is completely secure, and except as expressly stated in a separate written agreement, Steward Business Resources Limited does not guarantee that use of the service will be uninterrupted, error-free or invulnerable to every security event.

7. Customer responsibilities for content and records

The Customer is solely responsible for the accuracy, completeness, legality and appropriateness of its Customer Data, configurations, financial postings, payroll outputs, tax submissions, statutory settings, approval rules and user access model.

The service may support accounting, tax and compliance workflows, including integrations or setup related to authorities or third parties. The Customer remains responsible for validating outputs before filing, publishing, paying, dispatching, approving or relying on them operationally or legally.

8. Acceptable use restrictions

The Customer and its users shall not:

  • license, sell, rent, lease, distribute or resell access to the service except as expressly approved in writing;
  • reverse engineer, decompile, disassemble or attempt to derive source code except where mandatory law allows it;
  • circumvent authentication, rate limits, usage controls or plan restrictions;
  • use the service to store or transmit unlawful, infringing, malicious, deceptive or harmful material;
  • probe, scan or test the vulnerability of the service without prior written approval;
  • upload malware, ransomware or destructive code; or
  • use the service in a way that materially interferes with other tenants, shared infrastructure or support operations.

9. Third-party services and integrations

The service may interoperate with third-party services, including payment platforms, tax systems, messaging providers, mail transport services, cloud infrastructure, browsers and public authority interfaces. Those services may have their own terms, policies, availability limits and technical dependencies.

Steward Business Resources Limited is not responsible for delays, outages, data mismatches or failed transmissions caused by third-party platforms, connectivity issues, regulatory downtime or customer-side configuration errors, except to the extent required by law or expressly agreed in writing.

10. Fees, renewals and plan changes

Subscription fees, implementation charges, support charges, taxes, billing cadence, renewal mechanics and user limits shall be governed by the applicable order form, quotation, invoice, commercial proposal or subscription schedule. Unless otherwise agreed in writing, non-payment may result in suspension of some or all service access after reasonable notice.

11. Suspension and termination

Steward Business Resources Limited may suspend or restrict access immediately if necessary to prevent security harm, comply with law, stop unlawful use, respond to credible abuse, preserve evidence or protect the service or other customers. Where practicable, Steward Business Resources Limited will provide notice and an opportunity to cure.

Upon termination or expiry, the licence granted under this EULA ends. The parties shall each remain bound by provisions that by their nature survive, including confidentiality, payment obligations, telemetry rights, intellectual property ownership, disclaimers, liability limits and dispute provisions.

12. Intellectual property

Steward Business Suite, including its software, interfaces, visual design, workflows, data structures, templates, service logic, documentation, trade names, trademarks and all modifications and derivative works, is and remains the property of Steward Business Resources Limited and its licensors. Except for the limited licence expressly granted in this EULA, no rights are transferred.

Feedback provided by the Customer may be used by Steward Business Resources Limited without restriction or obligation, provided no confidential Customer Data is publicly disclosed as part of that use.

13. Confidentiality

Each party shall protect the other party's non-public business, technical and commercial information using reasonable care and shall use such information only as necessary to perform under this EULA. Confidentiality obligations do not apply to information that is publicly available without breach, independently developed without use of the other party's confidential information, or lawfully obtained from a third party without confidentiality restrictions.

14. Disclaimers

Except as expressly stated in a signed written agreement, the service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Steward Business Resources Limited disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability.

The service is a business tool and not legal, tax, accounting, payroll, employment or regulatory advice. The Customer should seek qualified professional advice where needed and should review outputs before acting on them.

15. Limitation of liability

To the maximum extent permitted by law, Steward Business Resources Limited shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, anticipated savings, data or business opportunity, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Steward Business Resources Limited's aggregate liability arising out of or related to this EULA shall not exceed the fees actually paid by the Customer for the affected service during the twelve months immediately preceding the event giving rise to the claim. These limits do not apply to liability that cannot lawfully be excluded or limited.

16. Changes to the service and this EULA

Steward Business Resources Limited may update features, user experience, workflows, integrations and security controls from time to time. Steward Business Resources Limited may also update this EULA where required for legal, operational, product or security reasons. Material changes will be communicated through a reasonable channel such as the service, email, setup flow or a published legal page. Continued use after the effective date of an updated EULA constitutes acceptance of the updated version to the extent permitted by law.

17. Governing law and disputes

Unless otherwise agreed in a signed written contract, this EULA is governed by the laws of Kenya, without regard to conflict of law principles. The parties shall first attempt in good faith to resolve disputes through notice and senior-level discussion before pursuing formal legal remedies.
